1. Acceptance of Terms

By accessing, browsing, or using HappyHorsesAI.org ("the Service", "we", "us", "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must immediately stop using the Service. These terms constitute a legally binding agreement between you and HappyHorse.

2. Description of Service

HappyHorse provides AI-powered video generation services. Users can enter text prompts and optionally upload reference images to generate video content using state-of-the-art AI models. The Service includes text-to-video generation, image-to-video generation, and multi-model selection — all processed in the cloud.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

4. Copyright, Consent, and User Obligations

THIS SECTION IS CRITICAL. PLEASE READ CAREFULLY.

By uploading any content to HappyHorse, you represent and warrant that:

• You own the copyright or have obtained explicit written permission from the copyright holder for all media (photos, videos, GIFs) you upload to the Service.
• You have obtained explicit consent from every identifiable person whose face appears in the uploaded content, including both the source media and the replacement face photo. This consent must cover the specific use of AI face replacement technology.
• You will not use the Service to create content that impersonates, defames, harasses, threatens, or causes harm to any individual, whether public figure or private person.
• You will not use the Service to create non-consensual intimate imagery, deepfake pornography, or any sexually explicit content involving real persons without their explicit consent.
• You will not use the Service to create fraudulent, deceptive, or misleading content intended to deceive others about the identity of any person, manipulate elections, spread misinformation, or commit identity fraud.
• You will not use the Service to violate any applicable local, state, national, or international law or regulation, including but not limited to intellectual property laws, privacy laws, and anti-harassment statutes.
• You understand that you are solely responsible for ensuring compliance with all applicable copyright, personality rights, publicity rights, and privacy laws in your jurisdiction.

Failure to comply with these obligations may result in immediate termination of your account without refund, removal of generated content, and potential reporting to law enforcement authorities where required by law.

5. Prohibited Uses

You expressly agree NOT to use the Service for any of the following purposes:

• Creating non-consensual deepfake content of any kind
• Impersonating another person for fraudulent or deceptive purposes
• Creating political disinformation, fake news, or election manipulation content
• Producing content that violates any person's right of publicity, right of privacy, or personality rights
• Creating content that infringes upon any third party's intellectual property rights, including copyrights, trademarks, or trade secrets
• Harassment, bullying, intimidation, or threatening behavior toward any individual
• Creating content depicting minors in any context
• Any use that violates the laws of the United States, European Union, or the user's local jurisdiction
• Circumventing any security measures or usage limits of the Service
• Reselling, sublicensing, or redistributing the Service without written authorization

6. Intellectual Property

Your Content: You retain all ownership rights to the original media you upload. You grant HappyHorse a limited, temporary license to process your content solely for the purpose of providing the video generation service. This license terminates upon completion of processing and deletion of files.

Generated Content: You are granted a license to use the AI-generated video output for personal and commercial purposes, provided that such use complies with all applicable laws and these Terms of Service. You are solely responsible for ensuring that your use of generated content does not infringe upon any third party's rights.

Our Technology: The Service, including its AI models, algorithms, software, user interface, branding, and all related intellectual property, remains the exclusive property of HappyHorse. Nothing in these terms grants you any rights to our underlying technology.

Copyright Infringement Claims: If you believe that content generated through our Service infringes your copyright, please contact us at legal@happyhorsesai.org with a detailed description of the alleged infringement. We comply with the Digital Millennium Copyright Act (DMCA) and equivalent international regulations.

7. Credits and Payments

• The Service operates on a credit-based system. Credits are consumed when generating videos.
• New users receive complimentary credits upon registration.
• Purchased credits are non-refundable except where required by applicable consumer protection law, or if the Service fails to deliver a result due to a system error (in which case credits are automatically refunded).
• Pricing and credit packages are subject to change. Existing purchased credits are not affected by price changes.
• All payments are processed securely through Stripe. HappyHorse does not store your payment card details.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. RESULTS MAY VARY DEPENDING ON PROMPT QUALITY, MODEL SELECTION, AND OTHER FACTORS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPYHORSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless HappyHorse, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; or (d) any content you upload or generate through the Service.

11. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any violation of these Terms of Service. Upon termination, your right to use the Service ceases immediately. Unused credits may be forfeited upon termination for cause. Sections regarding intellectual property, liability, indemnification, and governing law survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
